1. Parties and Representation
The Seller or Landlord named above (the "Client") appoints Robin Hood Realty Limited, Brokerage (RECO registration #5048695), 6 Steven Ave, Toronto, ON M6B 3L8 (the "Brokerage"), and the Brokerage agrees to represent the Client, on a limited-service ("mere posting") basis, in listing the Property for sale or lease. RocketListings.ca is the online service through which the Brokerage offers this mere posting service.
This Agreement creates a representation relationship: the Client is a client of the Brokerage under the Trust in Real Estate Services Act, 2002 (TRESA). The Brokerage's services and duties are limited to those described in Section 3. Because the services are limited, the Brokerage will not provide the services listed in Section 3(b), and the Client is responsible for those matters.
Before agreeing, the Client confirms they have received and read the RECO Information Guide.
2. Term
This Agreement starts on the Effective Date and ends at 11:59 p.m. on the Expiry Date shown on page 1, unless it is terminated earlier under Section 7 or extended in writing by the Client and the Brokerage.
For the Monthly Subscription plan, the term is 1 month and renews for a further 1 month each time the monthly fee is paid, until the Client cancels. The Expiry Date shown is the end of the current paid month.
3. Services
(a) The Brokerage will:
- enter the Property on the MLS® System of the applicable real estate board and on REALTOR.ca, using the information, photos and documents the Client provides;
- display up to 40 photos (JPEG or PNG, each under 5 MB);
- review the listing information for compliance with board rules before publishing, and ask the Client to correct or complete information where required;
- publish the Client's own contact details on the RocketListings.ca property page so buyers, tenants and their brokerages can contact the Client directly;
- process the Client's change requests (for example price, photos, description, extension, cancellation, and sold or leased status) on the MLS® System within 2 business days of a complete request;
- forward to the Client any inquiry, showing request or offer the Brokerage receives about the Property; and
- remove the listing from the MLS® System when this Agreement ends.
3(b). Services the Brokerage will not provide
- showing the Property or attending showings or open houses;
- advising on list price, market value, or the terms of any offer;
- receiving, presenting, negotiating or reviewing offers on the Client's behalf, or holding deposits;
- any other service not listed in Section 3(a).
The Client will deal directly with buyers, tenants and their brokerages. The Brokerage strongly recommends that the Client retain a real estate lawyer.
4. Remuneration to the Brokerage
The Client pays the Brokerage the flat fee for the plan selected, plus HST, in advance. No commission is payable to the Brokerage when the Property is sold or leased.
How payment is made: by credit or debit card (or another method offered at checkout) through the Brokerage's secure payment processor, Stripe, at the time of purchase. For the Monthly Subscription, the monthly fee plus HST is charged automatically to the same payment method at the start of each monthly term until cancelled. Extensions and upgrades are paid the same way when purchased. A receipt is emailed for each payment.
Fees for a listing that has been submitted for processing are non-refundable, except where the Brokerage is unable to provide the services through no fault of the Client.
5. Remuneration offered to a buyer's or tenant's brokerage
The Client will specify the remuneration offered to a co-operating brokerage that represents a buyer or tenant (the "Co-operating Commission") in the Commission step of the listing questionnaire. That amount forms part of this Agreement and will be published on the MLS® System.
The Co-operating Commission may be a percentage of the sale price, or of the rent (for a lease), or a fixed dollar amount, plus HST. It is payable by the Client directly to the co-operating brokerage when the sale is completed or the lease begins. If the buyer or tenant is not represented by a brokerage, no Co-operating Commission is payable.
6. Changes to remuneration
- The Client may change the Co-operating Commission at any time by a written change request. The change takes effect when it is published on the MLS® System and does not affect any offer or agreement made before it was published.
- The Brokerage's fee does not change during the term. Extensions, renewals and plan upgrades are charged at the price shown to the Client at the time of purchase.
- For the Monthly Subscription, the Brokerage will give at least 30 days' notice by email of any change to the monthly fee. The Client may cancel before the change takes effect.
7. Termination
- The Client may terminate this Agreement at any time by written notice through the RocketListings dashboard or by email to hello@rocketlistings.ca. The Brokerage will remove the listing from the MLS® System within 2 business days.
- Financial consequences: fees already paid are non-refundable; for the Monthly Subscription, no further charges are made after cancellation. Any Co-operating Commission owed for an agreement of purchase and sale or lease made before termination remains payable.
- The Brokerage may terminate this Agreement by written notice if the Client provides false or misleading information, breaches board rules or this Agreement, or fails to provide required information. Fees are not refunded when termination results from the Client's breach.
8. Holdover
If, within 90 days after this Agreement expires or is terminated, the Client agrees to sell or lease the Property to a buyer or tenant who was introduced to the Property during the term through the MLS® listing, the Client will pay the Co-operating Commission to the brokerage that introduced them. No additional fee is payable to the Brokerage. This Section does not apply if the Client has entered into a new listing agreement with another registered brokerage and pays commission under it.
9. Client obligations
- The Client confirms they are the owner of the Property, or are authorized by all owners, to enter into this Agreement.
- The Client will provide accurate, complete and lawful information and will only submit photos and content they have the right to use.
- The Client will tell the Brokerage within 2 business days when the Property is sold or leased (firm or conditional) and will upload the agreement and any amendments, as required by board rules.
10. Communications and electronic signature
The Client agrees that this Agreement may be accepted and signed electronically and that notices may be given by email. The Client can reach the Brokerage by call or text at 647-360-9060, at the Brokerage office at 365-695-5455, or by email at hello@rocketlistings.ca.
This Agreement is governed by the laws of Ontario. Concerns about a registrant may be raised with the Real Estate Council of Ontario (RECO).
